AZH is undergoing a business and operational transformation and group consolidation. This statement records the nature of the transition, the legal and operational continuity of the relevant AZH entities, the persons currently authorised to lead and represent AZH, and the official channels through which AZH communicates.
AZH is currently undergoing a business and operational transformation designed to strengthen its technology, simplify its operating structure and create a more focused organisation for the clients and partners it serves.
As part of this transformation, AZH is consolidating its activities under a unified brand and operating framework. Its leadership structure and management team have also been reorganised.
AZH is now led by the Chairman and Chief Executive Officer identified in Section 03 of this statement. Certain members of the former management team no longer hold any office, position, authority or representative capacity within AZH.
The business and operational transformation does not, by itself, alter the legal identity, rights, liabilities or obligations of any AZH entity. Any formal corporate change will take effect only in accordance with applicable law, the constitutional documents of the relevant company and the records of the competent authorities.
AZH remains committed to its clients, partners and contractual responsibilities while becoming a more focused, efficient and technology-driven organisation.
To avoid misunderstanding during the transition, and to protect AZH's clients, partners and the public, AZH places the following matters on record:
For the purposes of this statement, the AZH Group comprises the following three companies:
Each company retains its own separate legal identity, rights, liabilities, contractual arrangements and corporate records.
Except where expressly confirmed in writing through the official channels identified in this statement, no other company, branch, office, subsidiary, representative office, agent or location is authorised to represent itself as part of, or as acting on behalf of, the AZH Group.
As of the effective date of this statement, and based on AZH's current corporate records, AZH has no outstanding, overdue, unperformed, or incomplete contractual obligations, nor does it have any acknowledged but unpaid contractual debt.
AZH recognises only those valid agreements, undertakings, and obligations that were entered into through the formal procedures of the relevant AZH entity and signed or confirmed by a person who held the necessary authority at the relevant time.
Any person claiming that AZH owes a contractual obligation, payment, compensation, or other commitment must provide complete, authentic, and verifiable written documentation. AZH will assess any such claim by reference to its corporate records, authorised-signatory arrangements, transaction records, and applicable law.
Any contract, undertaking, representation, or arrangement that was entered into without proper authority, was not concluded through AZH's official channels, cannot be verified against AZH's corporate records, or was made by a person without authority to represent AZH shall not be regarded as recognised, approved, or accepted by AZH.
Nothing in this section affects any obligation that has been finally determined under applicable law to be legally binding upon the relevant AZH entity.
AZH has not appointed any external individual, agent, broker, introducer or intermediary to:
unless that appointment has been expressly confirmed in writing through AZH's official channels.
Any person dealing with an alleged representative should verify that person's authority directly with AZH before entering into any arrangement or transferring any money, information or assets.
During the business and operational transformation and consolidation, AZH is not publicly:
Any such offer made in AZH's name without written confirmation through the official channels below should be treated as unauthorised and potentially fraudulent.
The business and operational transformation is intended to consolidate AZH's commercial identity and internal operating structure. It does not, by itself:
Any merger, transfer, change of legal name, change of ownership, restructuring or other formal corporate action will be effective only when properly approved, documented and, where required, registered with the relevant authorities.
Only communications made through the official contact details listed in Section 05 should be relied upon as verified communications from AZH.
Any request, instruction, payment demand, contractual proposal or representation made through another email address, telephone number, messaging account, website, social-media account or intermediary should be independently verified with AZH before any action is taken.
As part of the group consolidation and management restructuring, the following individuals are the principal persons authorised to lead and represent AZH, subject at all times to the constitutional documents, corporate approvals, delegated authorities and authorised-signatory arrangements of the relevant AZH entity:
The Chairman and Chief Executive Officer exercise their respective authority in accordance with the applicable corporate records and approvals of each relevant AZH company. Except where a specific written authority has been granted by the Chairman, the Chief Executive Officer, the board of directors or another duly authorised corporate body, no other person may claim authority to bind or represent AZH.
All former directors, officers, employees, consultants, representatives and members of management whose appointments or authorities have been terminated have ceased to hold authority from the effective date of that termination. Following such termination, they are not authorised to:
AZH will not accept responsibility for any act, statement, undertaking or commitment made after the relevant person's authority was terminated, unless that act is subsequently confirmed in writing by an authorised representative of the relevant AZH entity or is otherwise legally binding under applicable law.
Any person who is approached by an individual claiming to represent AZH should verify that individual's authority through the official contact details in Section 05.
Valid existing agreements, commercial relationships and legal obligations remain in force in accordance with their terms and applicable law. Existing clients and partners are not required to take any action solely as a result of the business and operational transformation.
Where any change specifically affects a client's or partner's contractual arrangement, legal counterparty, payment instructions, service provider, authorised contact or other material term, AZH will communicate that change directly through its official channels and, where required, provide appropriate supporting documentation.
No client or partner should amend payment instructions, transfer funds, disclose credentials or sign replacement documentation solely on the basis of a communication received through an unofficial channel.
To protect clients and partners during the transition, AZH is directing all general business communication through the following verified channels:
All business enquiries, verification requests and questions concerning the authority of any individual should be directed to the contact details above. AZH will not request that clients or partners transfer funds, disclose passwords, provide confidential credentials or amend payment instructions through an unverified email address, telephone number, messaging application, social-media account or intermediary. Any suspicious communication claiming to originate from AZH should be disregarded until it has been independently verified through the official channels listed above. Where AZH establishes additional official channels in the future, they will be announced or confirmed through its official website or through a written communication issued from the verified email address above.
